Maso Capital, which owns our sponsor and is our affiliate, is a leading Hong Kong-based multi strategy investment manager. Maso Capital manages funds for prominent financial institutions, sovereign wealth funds, pension plans, endowments, corporations and family offices around the world. Maso Capital employs a team of 13 people with multiple decades of experience across public markets, private investing and mergers and acquisitions. Maso Capital principals have had a continuous local presence on the ground in Asia since 2005. Maso Capital seeks to create long-term value for its portfolio companies by identifying areas of undervaluation and working with management teams and stakeholders to realize that value. These changes can include operating improvements through to financing and capital structure enhancements and mergers and acquisitions.

Since inception, Maso Capital has invested in more than one thousand companies and situations across multiple sectors and geographies. Leveraging its stature and reputation in Hong Kong and its experienced investment team, Maso Capital has had investments in a number of TMT, healthcare, fintech and consumer companies in the region.
 
We believe Maso Capital’s track record in TMT, healthcare, fintech and consumer sectors, together with its extensive network of corporate and banking relationships, brand name, and deep understanding of capital markets give us a significant advantage in identifying strong investment opportunities in our target sectors.


Our management team is led by Manoj Jain and Sohit Khurana. They have decades of experience investing in and analyzing companies globally. Our strategy is focused on generating attractive returns from global opportunities which have a compelling Asian nexus. We will seek to capitalize on the extensive experience of Manoj Jain, Sohit Khurana and Maso Capital.

Manoj Jain, our co-chief investment officer, chief executive officer and chairman of our board of directors, is the co-chief investment officer and co-founder of Maso Capital. Prior to founding Maso Capital, Mr. Jain spent nine years at Och-Ziff Capital Management Limited, a leading multi-strategy investment firm, where he was a Managing Director in the Hong Kong office. At Och-Ziff, Mr. Jain was focused on Asia merger arbitrage, event-driven situations and capital markets investments. Prior to moving to Hong Kong, Mr. Jain was an analyst focused on event-driven situations and arbitrage investing at Och-Ziff in New York. Prior to Och-Ziff, Mr. Jain was an analyst in mergers and acquisitions at Credit Suisse First Boston in New York. Mr. Jain holds a B.A. from Cambridge University, U.K and an M.A. in Management Studies from Cambridge University, U.K.

Sohit Khurana, our co-chief investment officer, president and chief risk officer, is the co-chief investment officer and co-founder of Maso Capital. Prior to founding Maso Capital, Mr. Khurana spent five years at Och-Ziff Capital Management Limited, a leading multi-strategy investment firm, where he was a Managing Director in the Hong Kong office. At Och-Ziff, Mr. Khurana was co-portfolio manager of the Asian convertible bond portfolio. He managed Och-Ziff’s Asian flow credit business and was responsible for macro hedging in Asia. Prior to Och-Ziff, Mr. Khurana spent five years trading European asset and mortgage-backed securities on both the sell side (Deutsche Bank) and buy side (Cambridge Place Investment Management). Mr. Khurana’s prior experience also includes derivative structuring at Merrill Lynch and Deutsche Bank. Mr. Khurana holds a B.Sc. (Econ.) in Economics from the London School of Economics and Political Science and an M.B.A. from Duke University.

 
Allan Finnerty, our chief financial officer is the chief operating officer and co-founder of Maso Capital. Prior to founding Maso Capital, Mr. Finnerty was Chief Financial Officer (Asia) of Mount Kellett Capital Management responsible for all financial and operational functions in Asia. Prior to Mount Kellett Capital Management, Mr. Finnerty spent a total of 11 years at Morgan Stanley and Goldman Sachs in finance and operational roles in Europe and Asia. Mr. Finnerty holds a BComm from the National University of Ireland and is a Fellow of the Institute of Chartered Accountants in Ireland.

 
Marc Holtzman will be appointed to our board in connection with this offering. Mr. Holtzman currently serves as the Chairman of Bank of Kigali, Rwanda’s largest financial institution, and the Chairman of CBZ holdings, Zimbabwe’s largest financial institution. Additionally, he currently serves as a member of the Board of Directors of TTEC, a leading provider of analytics-driven technology-enabled services, and the Kazakhstan Direct Investment Fund. Mr. Holtzman previously served as the Chief Executive Officer of KazKommertsBank, Vice Chairman of Barclays Capital and Vice Chairman of ABN Amro Bank, the co-founder and President of MeesPierson EurAmerica, Senior Adviser to Salomon Brothers, the President of the University of Denver, the Secretary of Technology of the State of Colorado and Chairman of Colorado’s Information Management Commission and Co-Chairman of the Governor’s Commission on Science and Technology. Additionally, from 2012 through 2015, Mr. Holtzman served on the Board of Directors of FTI Consulting, Inc., a global financial and strategic consulting firm, and Sistema, Russia’s largest listed private company. Mr. Holtzman holds a bachelor’s degree in Economics from Lehigh University.

 
Peter Lee Coker Jr. will be appointed to our board in connection with this offering. Mr. Coker has over 30 years of experience in the finance and investment industries, currently serving as the Chairman of Hometown International Incorporated and as the Managing Partner of Pacific Advisers. Additionally, Mr. Coker has served as the Chairman of Southshore Holdings Limited since 2013 and as Chairman of the Executive Committee since 2018. Mr. Coker previously served as a partner of TDR Capital Investment Ltd., in various capacities at the Bridge Companies and as the Chairman of IRESS Market Technology, Wellington Securities (New Zealand) and Global Trading Offshore Pte (Singapore). Mr. Coker is a graduate of Lehigh University.

Bradford Allen will be appointed to our board in connection with this offering. Mr. Allen is a seasoned entrepreneur, financier, and business executive with 35 years of experience in senior roles in the private banking, investment banking and venture capital industries. Mr. Allen currently serves as the Chairman of Vaunt, a sports and entertainment IP development company. Prior to joining Vaunt, he successfully founded, funded and exited three start-up companies, including most recently, NextVR, which was acquired by Apple. Mr. Allen holds a bac
helor’s degree in Business Administration from Villanova University.
