From S1A 10/16/20 - We are offering 10,000,000 units at an offering price of $10.00 per unit. Each unit consists of one Class A ordinary share, one right and one redeemable warrant, which we refer to throughout this prospectus as “public warrants”. Each right entitles the holder thereof to receive one-tenth (1/10) of one ordinary share upon the consummation of an initial business combination, as described in more detail in this prospectus. Each warrant entitles the holder thereof to purchase one-half (1/2) of one Class A ordinary share. We will not issue fractional shares. As a result, you must exercise warrants in multiples of two warrants, at an exercise price of $11.50 per full share, subject to adjustment as described in this prospectus to validly exercise your warrants, and you must have ten (10) rights to receive a share at the closing of the business combination. Each warrant will become exercisable on the later of the completion of an initial business combination and 12 months from the date of this prospectus and will expire five years after the completion of an initial business combination, or earlier upon redemption.
